Clip License Agreement

This Clip License Agreement ("Agreement") is between IthacaDrone LLC, a New York limited liability company based in Ithaca, New York ("IthacaDrone," "we," or "us"), and the business or person who completes the purchase of a Clip License ("Licensee" or "you"). Each Clip License takes effect when your payment for it is completed.

1. Definitions

• "Clip" means a single aerial video clip from the IthacaDrone footage library, as listed on our website.
• "Clip License" means the license to one Clip that you buy at checkout, at the price shown there.
• "Licensed Files" means the delivery files of a licensed Clip that we make available in your account, currently a 4K MP4 where the Clip was shot in 4K and a 1080p MP4.
• "Your Business" means the business named on your account or at checkout, or you personally if you buy as an individual.
• "Project" means any work that incorporates a Clip, such as a video, advertisement, website, social post, presentation or broadcast.

2. What you may do

2.1 For each Clip License you buy, we grant you a non-exclusive, non-transferable, worldwide, royalty-free license, with no end date, to use that Clip in an unlimited number of Projects made by or for Your Business.

2.2 You may edit the Clip: cut it, crop it (including to a vertical frame), color grade it, change its speed, and add text, graphics, music or sound.

2.3 You may use the Clip in any medium, including websites, social media, paid advertising, email, presentations, broadcast and streaming video, and printed stills taken from it.

2.4 An agency, editor or freelancer making a Project for Your Business may handle the Licensed Files to do that work, and only for that work. If you are an agency buying for a client, buy the Clip License in your client's name. Each Clip License covers one business.

3. What you may not do

3.1 You may not sell, resell, sublicense, share or give away a Clip or the Licensed Files, on their own or as part of a collection, and you may not upload them to any stock footage site, marketplace or file-sharing service.

3.2 You may not use a Clip in a product whose main value is the Clip itself, such as a video template, a stock collection or a screensaver offered to others.

3.3 You may not use a Clip as part of a logo, trademark or service mark.

3.4 You may not use a Clip in an unlawful, defamatory, obscene or misleading way, or in a way that implies a place, person or business shown in it endorses you.

3.5 You may not claim that you or anyone other than IthacaDrone filmed the Clip.

3.6 You may not use a Clip or the Licensed Files to train, test or improve a machine learning or artificial intelligence model.

4. Ownership

4.1 IthacaDrone keeps all copyright and other rights in every Clip. A Clip License is a license, not a sale of the footage.

4.2 Clip Licenses are non-exclusive. We may license the same Clip to others and use it ourselves.

5. Delivery

5.1 Licensed Files are delivered through your account on our website. Download links are created when you request them and expire shortly afterward.

5.2 We aim to keep your Licensed Files available in your account. Keep your own copy of anything you rely on; your license does not end if a file later becomes unavailable for download.

6. People, places and property in the footage

6.1 The library shows public places in and around Ithaca, filmed from the air under FAA Part 107 rules. We do not hold model releases for people, or property releases for buildings, logos or artwork, that may appear in a Clip.

6.2 If a Project uses a Clip in a way that needs such a release (for example, an advertisement that features an identifiable person or a recognizable private building), getting that release is your responsibility.

6.3 If you think a Clip raises a privacy or property concern, email us and we will review it.

7. Breach

If you break Section 3, your Clip License for the affected Clip ends immediately and we may require you to stop using that Clip, in addition to any other remedy available to us by law.

8. Warranties and liability

8.1 We warrant that we filmed each Clip and have the right to license it to you on these terms.

8.2 Apart from Section 8.1, Clips are provided "as is," without any other warranty, express or implied.

8.3 To the maximum extent permitted by law, our total liability for any claim relating to a Clip License is limited to the amount you paid for that Clip License, and we are not liable for indirect, incidental, special or consequential damages.

9. Indemnification

You agree to indemnify and hold IthacaDrone harmless from claims, damages and expenses (including reasonable attorneys' fees) that arise from your use of a Clip outside this Agreement, or from a Project's content other than the Clip itself.

10. Memberships started before October 2026

Memberships are no longer sold. If you started one before October 2026, it continues under the Membership License Agreement until it ends. Clips you buy individually are licensed under this Agreement.

11. General

11.1 This Agreement is governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Tompkins County, New York.

11.2 We may update this Agreement for future purchases. The version in effect when you bought a Clip License continues to govern that Clip License.

11.3 You may not transfer a Clip License without our written consent, except as part of a sale of Your Business.

11.4 If any part of this Agreement is found unenforceable, the rest stays in effect.

11.5 This Agreement and the Terms of Service are the entire agreement between us about Clip Licenses.
